Corporate Restructuring & Operating Model Design
Align the operating model with the direction of the business.
We help organizations reassess how their business units and core functions are organized and how they work together. Our work evaluates consolidation, separation, centralization, and other structural changes alongside the processes, systems, and governance required to support them. We develop operating models that define where work is performed, how services are delivered, and who is accountable for results. Each option is assessed against strategic priorities, operating costs, and the organization’s ability to manage the transition.
A revised structure must work beyond the organizational chart.
Combining divisions may reduce duplication while creating new coordination demands. Centralizing support functions may lower costs but distance decisions from the teams they serve. Separating a business unit may expose dependencies on shared systems, people, or infrastructure that need to be addressed before it can operate independently.
We examine these trade-offs across the organization, rather than treating restructuring as a change in reporting lines alone. The assessment establishes what should be shared, what should remain within individual businesses, and how the proposed arrangements would function in practice.
Our work can include
- Current Operating Model Assessment — Mapping how business units, functions, processes, and systems interact to identify duplication, fragmented accountability, and operational dependencies.
- Restructuring Options & Evaluation — Comparing consolidation, separation, and reorganization options, including expected benefits, transition costs, service implications, and implementation constraints.
- Target Operating Model Design — Defining the future allocation of activities, service delivery arrangements, decision-making responsibilities, and supporting system requirements.
- Shared Services & Governance Design — Assessing which activities to centralize or retain locally, with clear service expectations, cost allocation, and performance oversight.
- Transition & Continuity Planning — Sequencing changes, mapping dependencies, and defining interim arrangements to maintain essential operations throughout the transition.
The resulting plan defines the proposed operating model, the changes required to establish it, and the sequence in which they should occur. It makes implementation responsibilities and dependencies explicit, with measures for assessing whether the new arrangements improve performance without compromising essential operations.
